Terms & Conditions

1. Overview

These Terms and Conditions ("Terms") govern your participation in the StepUp HRMS Partner Program ("Program"). By submitting a partner application or participating in the Program, you agree to be bound by these Terms. StepUp HRMS reserves the right to modify these Terms at any time, with notice provided to active partners.

2. Eligibility

To be eligible for the Partner Program, you must:

  • Be at least 18 years of age or the legal age of majority in your jurisdiction.
  • Have a valid business registration or professional consultancy practice (for Reseller and Implementation partners).
  • Not be a current employee of StepUp HRMS or its subsidiaries.
  • Agree to abide by all applicable laws and regulations in your operating jurisdiction.

3. Partner Types

The Program offers the following partnership tiers:

  • Referral Partner: Introduce new companies to StepUp HRMS and earn commission on successful sign-ups.
  • Reseller Partner: Actively sell StepUp HRMS subscriptions to your client base.
  • Implementation Partner: Provide onboarding, training, and support services for StepUp HRMS clients.

4. Commission Structure

20% Recurring Commission

Partners earn 20% commission on the monthly subscription revenue generated by each referred company for the first 12 months from the date of the referred company's initial subscription activation.

  • Commission is calculated on the net subscription revenue (excluding taxes, discounts, and refunds).
  • The 12-month commission period begins on the date the referred company's first paid subscription becomes active.
  • After the initial 12-month period, the commission arrangement for that referral concludes unless a renewal agreement is negotiated in writing.
  • Commission rates may be adjusted for future referrals with 30 days' prior written notice to the partner.
  • Commissions are paid monthly, within 15 business days after the end of each calendar month.
  • A minimum payout threshold of KES 5,000 applies. Amounts below this threshold will roll over to the next payment period.

5. Referral Tracking & Attribution

  • Referrals must be submitted through the official Partner Application form or communicated directly to the StepUp partnership team.
  • A referral is considered valid only if the referred company is not already an existing client or in active discussions with StepUp HRMS at the time of referral.
  • StepUp HRMS has sole discretion over referral attribution in cases of dispute.
  • Each referred company can only be attributed to one partner.

6. Partner Obligations

As a partner, you agree to:

  • Represent StepUp HRMS accurately and professionally at all times.
  • Not make misleading claims about StepUp HRMS products, services, or pricing.
  • Not engage in spam, unsolicited communications, or any deceptive marketing practices.
  • Comply with all data protection and privacy regulations, including the Kenya Data Protection Act (2019).
  • Promptly notify StepUp HRMS of any changes to your contact information or business status.

7. Termination

  • Either party may terminate the partnership with 30 days' written notice.
  • StepUp HRMS reserves the right to immediately terminate a partnership for breach of these Terms, fraudulent activity, or conduct that damages the StepUp HRMS brand.
  • Upon termination, outstanding commissions for verified referrals will be paid within 30 business days.
  • Termination does not affect the commission obligations for referrals made and attributed prior to the termination date, subject to the 12-month commission period.

8. Limitation of Liability

StepUp HRMS shall not be liable for any indirect, incidental, or consequential damages arising from your participation in the Partner Program. The maximum aggregate liability of StepUp HRMS under these Terms shall not exceed the total commissions paid to the partner in the preceding 12 months.

9. Confidentiality

Partners shall keep confidential all non-public information shared by StepUp HRMS, including but not limited to pricing structures, client lists, product roadmaps, and business strategies. This obligation survives termination of the partnership.
